Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and your organization (“you,” “Customer”) and Bookitt Technologies LLC, which operates the CertReel service (“CertReel,” “we,” “us”). By creating an account, subscribing, or using CertReel, you agree to these Terms. If you are using CertReel on behalf of an organization, you represent that you are authorized to bind that organization, and “you” means that organization.

CertReel is a service of Bookitt Technologies LLC. If you do not agree to these Terms, do not use the Service.

1. The Service

CertReel turns a topic, prompt, or uploaded document into an AI-generated animated training video, generates an optional knowledge-check quiz, lets you enroll your staff or learners by email, and issues certificates of completion that can be verified by link (the “Service”). Features, limits, and pricing may change over time as described below.

2. Accounts & Eligibility

  • You must be at least 18 years old and use CertReel for business or professional purposes.
  • You are responsible for the activity under your account, for keeping access to your sign-in email secure, and for the people you invite or enroll.
  • You agree to provide accurate information and to keep it current.

3. Subscriptions, Credits & Billing

  • Credits & pay-as-you-go. Creating and downloading a training video consumes credits, and the credit cost scales with video length. You can get credits two ways: (a) buy a one-time credit pack and pay as you go — no subscription is required to generate and download videos; or (b) subscribe (below) for a recurring monthly credit allotment. Credit costs are shown in the app at the time of generation.
  • Subscription. The optional subscription is billed in advance on a recurring monthly basis through our payment processor, Stripe, and renews automatically until cancelled. It includes a set number of credits each month plus the team features described next. Monthly (subscription) credits do not roll over between billing periods; one-time pack credits remain in your balance until used.
  • Team features require a subscription. Publishing a training to your team — enrolling staff by email, issuing certificates, and the completion dashboards — requires an active subscription. Without a subscription you can still buy credits to generate and download videos for your own use.
  • No refunds. Except where required by law, all payments — including subscription fees and credit-pack purchases — are non-refundable, and credits have no cash value and are not redeemable for cash. Cancelling stops future renewals; it does not refund the current period.
  • Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period. See our Refund & Billing Policy.
  • Price changes. We may change prices or plan features on at least 30 days’ notice; changes apply to your next billing period.
  • Taxes. Fees are exclusive of taxes; you are responsible for any applicable sales, use, or similar taxes.
  • Failed payments. If a charge fails, we may suspend access until payment is resolved.

4. Acceptable Use

Your use of CertReel must comply with our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you may not use the Service to create unlawful, infringing, deceptive, or harmful content, to impersonate others, or to issue certificates you know to be false.

5. Your Content & Data

  • Ownership. You retain ownership of the documents, prompts, brand assets, learner information, and other materials you submit (“Customer Content”) and of the training videos and certificates generated from them (“Outputs”), subject to the rights of third parties and to Section 6.
  • License to us. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content and Outputs solely to provide, maintain, and support the Service, including sending the content to our subprocessors (see Section 7). We do not use Customer Content to train our own AI models.
  • Your responsibility. You represent that you have the rights and permissions to submit Customer Content (including the right to upload your staff’s or learners’ personal information and to enroll them) and that your use of CertReel complies with applicable law. You are responsible for reviewing Outputs before using them.
  • Personal data. When you upload information about your staff or learners, you act as the data controller and we act as your processor. Our Data Processing Addendum governs that relationship, and our Privacy Policy describes our practices.

6. AI-Generated Content — Important Disclaimer

  • CertReel uses third-party artificial-intelligence models. Outputs are generated automatically and may contain errors, inaccuracies, or content that is not suitable for your purpose. You are solely responsible for reviewing, editing, and verifying all Outputs before relying on or distributing them.
  • CertReel is a content-creation and record-keeping tool. It does not provide legal, compliance, safety, medical, financial, or accreditation advice, and Outputs are not a substitute for professional judgment or for training that a law, regulation, or accrediting body may require.
  • Certificates issued through CertReel are records that a learner completed a training and quiz on our platform. They are not an accredited or government-recognized credential unless you independently arrange for that recognition. You are responsible for determining whether a CertReel training and certificate satisfy any obligation you are trying to meet.
  • AI models may produce similar outputs for different customers; we do not warrant that Outputs are unique.

7. Third-Party Services & Subprocessors

CertReel relies on third-party providers — including for payments, AI generation, voice synthesis, storage, and email — listed in our Subprocessors page. Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services. Payments are processed by Stripe; we do not store full payment-card numbers.

8. Intellectual Property

The Service, including its software, design, and the CertReel name and logo, is owned by Bookitt Technologies LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service, or remove proprietary notices. Any feedback you provide may be used by us without obligation to you.

9. Suspension & Termination

  • You may stop using the Service and cancel at any time.
  • We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties.
  • Effect of termination. On termination, your right to use the Service ends, and you remain responsible for fees accrued before termination.
  • Exporting your data. You can export your trainings and completion/certificate records at any time from your account (the “Export All” option), including before termination or deletion.
  • Retention after termination. We retain certificate and completion records while your account is active and for at least 12 months after your subscription ends — and for as long as CertReel continues to operate — so that previously issued verification links keep working; you may request earlier deletion. We may delete your training video files following the retention period described in the Privacy Policy.
  • Discontinuation of the Service. We may discontinue CertReel at any time. If we do, we will provide at least 30 days’ notice by email, during which the Export All option will remain available so you can retrieve your trainings, records, and certificates. After the wind-down period ends, your data may be permanently deleted, and we will have no further obligation to retain it or to keep verification links active.

10. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $250. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You will defend, indemnify, and hold harmless Bookitt Technologies LLC and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Content, your Outputs, your use of the Service, your enrollment of learners, or your breach of these Terms or applicable law.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The state and federal courts located in North Carolina will have exclusive jurisdiction over any dispute, and the parties consent to that jurisdiction and venue.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Effective date” above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. General

  • Entire agreement. These Terms, the Acceptable Use Policy, the Privacy Policy, the DPA, and any order or plan you select form the entire agreement between us.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures due to events beyond its reasonable control.
  • Notices. We may provide notices by email or by posting in the Service.
  • No waiver. Failure to enforce a provision is not a waiver of it.

16. Confidentiality

Each party may receive non-public information of the other in connection with the Service (including Customer Content and CertReel's non-public technical and business information). Each party will use the other's confidential information only to perform under these Terms, will protect it with reasonable care, and will not disclose it except to personnel and subprocessors bound by confidentiality obligations, or as required by law. This section does not limit the licenses granted in Section 5 or the parties' obligations under the Data Processing Addendum.
